Acceptance of Terms

By accessing or using OnePanel Nexus ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including companies and organizations that use our platform for business purposes.

Description of Service

OnePanel Nexus is a unified business digital workspace platform that enables organizations to integrate, automate, and manage their business operations through a centralized dashboard and workflow system.

The Service includes access to our web-based platform, API integrations, data analytics tools, automation features, and customer support services as described in your subscription plan.

User Accounts and Registration

To use certain features of the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this security obligation.

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service to transmit, distribute, or store material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.

You may not attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means.

Subscription Plans and Billing

The Service is offered through various subscription plans with different features and usage limits. Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan.

All fees are non-refundable except as expressly stated in these Terms or required by law. We reserve the right to change our pricing with 30 days' notice to existing subscribers.

Data Ownership and Usage Rights

You retain ownership of all data, content, and information that you upload, submit, or otherwise make available through the Service ("Customer Data"). We do not claim ownership rights in your Customer Data.

You grant us a limited license to use, store, and process your Customer Data solely to provide the Service and as described in our Privacy Policy. This license terminates when you delete your data or terminate your account.

Service Availability and Support

We strive to maintain high service availability but do not guarantee uninterrupted access to the Service. We may experience downtime for maintenance, updates, or due to factors beyond our control.

Support services are provided according to your subscription plan. We aim to respond to support requests within the timeframes specified in your service level agreement.

Intellectual Property Rights

The Service and its original content, features, and functionality are owned by OnePanel Nexus and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any part of the Service without our express written permission.

Third-Party Integrations

The Service may integrate with third-party applications and services. Your use of such integrations is subject to the terms and conditions of those third parties. We are not responsible for the availability, functionality, or content of third-party services.

You acknowledge that enabling integrations may involve sharing your data with third parties according to their privacy policies and terms of service.

Limitation of Liability

To the maximum extent permitted by law, OnePanel Nexus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless OnePanel Nexus and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

This indemnification obligation will survive termination of these Terms and your use of the Service.

Termination

You may terminate your account at any time by following the account closure process in your account settings. We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or the Service.

Upon termination, your right to use the Service will cease immediately, and we may delete your account and data after a reasonable period, subject to our data retention policies.

Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Toronto, Ontario, Canada.

You waive any right to participate in a class action lawsuit or class-wide arbitration against OnePanel Nexus.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Toronto, Ontario, Canada.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

Your continued use of the Service after any changes indicates your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.
